Based on the experiences I have had with friends who have lost all their site or parts of their site by trying to do-it-yourself, or by trying to do parts of the site logistics themselves, I’ve come to the conclusion that I can save myself a lot of headaches by managing all the technical aspects of a website for my customers and by doing so I can make some serious guarantees that can’t be found anywhere else. As a result you will find below that this agreement establishes your ownership of the site and domain name while giving me (Praise Worx) full management of your site and all the logistics associated with it. I will never hold ownership to your site or your domain name. But I will strictly hold onto the management of your site if you agree to and see the benefits in my doing so.

This good faith agreement establishes basic terms and conditions that Praise Worx expects and follows when providing any of the services advertised on this site or services otherwise agreed upon.

Website Setup & Build

1. Praise Worx will build your website following the principles of good marketing as outlined in the group of posts under the category – Principles. The website will be customized as much as possible to your liking, but will follow those principles. Please ensure you have read and understand ALL these principles prior to agreeing to any of the services offered by Praise Worx.
2. Ownership – the website content to include the images and text will be owned by you only upon completion of the site development (build or revamp) project. Once the project is complete, all content can be downloaded so that you have it as your property and under your control, if you feel so inclined to do so. After the site is complete and while the site is hosted by Praise Worx on servers and space owned or rented by Praise Worx, the site content is available to you the owner as a WordPress Editor level of access to give you the owner full ownership capabilities, but to protect the site from the inadvertent removal of the content, plugins, or the site itself. Administrative level privileges will only be provided upon request and to those who can show they have the technical expertise to safeguard the site from damages. If you, the owner, need to add other users they too will be added at the level of Editor or below and can be added by making that request to admin@praiseworx.com.
3. Any artwork that is created by Praise Worx for your site will remain shared ownership and Praise Worx has the right to reuse that artwork on other sites developed by Praise Worx. Artwork that you commission or provide will be protected and owned exclusively by you.
4. Unless otherwise specified, your site will be developed using a Themify premium theme as part of your agreement and included in the site development costs. If you decide to transfer your website to a different hosting service, the theme will not transfer and you will need to purchase your own license or purchase a different theme. If you select the Transfer Out Premium service plan ($200), a license for the Themify theme ($70) or one of your choice will be will be provided and installed at your new hosting service location.

Managed Hosting

1. Hosting provided by Praise Worx is considered managed hosting.
2. The site and all files / media uploaded to the site are stored on servers that Praise Worx either owns or on which Praise Worx rents space. Praise Worx is NOT an agency and does not have agency access to these servers. As a result the following limitations exist:
   • You the site owner will only have access to the WordPress back end.
   • You the site owner will not have access to the cPanel functions and php level menus.
   • You the site owner will not have access to create new email accounts or to change email account passwords.
   • You the site owner will not have customer support access to the owners of the servers.
3. Praise Worx currently has an agreement to provide website hosting on InMotion servers. When Praise Worx feels it is necessary to transfer to other hosting services, you the site owner will be notified of the change and will be given the option to terminate any hosting services currently held with Praise Worx.
4. Praise Worx will provide managed backups and updates to your site. This means before updates take place a backup will be generated. After the updates are completed, your site will be tested to ensure the update did not break your site. Updates will only be done on a 6 month or longer bases or as requested by you the owner.
5. Praise Worx provides managed hosting services on a 3 year commitment only.
6. You may terminate the hosting agreement at any time upon receipt of written / email notification of your desire to do so. If termination is requested before the expiration of the 3 year commitment, no refund will be provided.

Email Accounts

1. All hosting plans include a certain number of free email accounts incorporating the domain name (branded / corporate email).
2. Praise Worx will set up the email accounts and will provide maintenance services such as password changes or email account changes at the designated hourly rate after the initial setup has been completed.
3. Corporate email accounts can be set up to be secure at no additional fee.
4. Domains may be parked on Praise Worx servers for the purpose of using the email only, and will be charged $25 per year on a 3 year agreement.

Domain Registration

1. Domains can be purchased and renewed through Praise Worx. The domain registrar will show ownership as Praise Worx, but with this agreement Praise Worx is declaring the ownership belongs to you the site owner.
2. Domain registration will be aligned with the 3 year hosting agreement. In other words, Praise Worx prefers to manage the domain registration when a hosting agreement is also in force. Otherwise the guarantees offered cannot be upheld by Praise Worx.
3. Praise Worx will manage the continued renewal of the domain name in order to guarantee continuous site operation.
4. Praise Worx guarantees that your site will remain in full effect and in continuous operation even beyond the stated terms of this agreement until written termination notice is received by you the owner. This means if you are unreachable for some reason, and the domain registration needs to be paid, Praise Worx will take a course of action to preserve the domain name and the site until absolute termination has been established. You agree to pay these fees once contact has been re-established. In this case only 1 year of domain registration will be incurred and 1 year of hosting. (No other hosting or domain registrar offers this guarantee!)
5. Upon proper written termination of hosting agreement, the domain name registration renewal agreement will also be terminated.

Transfers

1. If your site is to be transferred to a new host, you will have the option to transfer the content and the layout (Transfer Out Premium Service – $200) to ensure the site looks and operates the same on it’s new host, or you can transfer only the content for a fee of $90.
2. Praise Worx will transfer the site content into the hands of another person who is technically skilled in websites and will know or understand the steps for importing the site onto the new hosting service.
3. If the site is to be transferred onto a new hosting service and another technical person is not available to assist with the transfer Praise Worx will perform the transfer at the at the hourly rate of $90 per hour. Transfers usually take between 30 minutes and 1 hour.

Dispute Resolution

Please bring all issues to my attention so that I can have the opportunity to make things right. If there are parts of this agreement that you strongly disagree with, we can discuss and perhaps revise. If you find that I’m not holding to this agreement, please let me know so that I can make the corrections and we can have a peaceable relationship.
